Urgent Update: Notice of Member Vote to Restore Charity Governance

Dear Member,

We are writing to share an important update regarding the governance of Dunmow Cricket Club and to request your immediate vote to help us resolve a temporary administrative challenge.

Our Chair of Trustees has recently resigned from the board. We are incredibly grateful for their service and wish them the best.

Following this resignation, Dunmow Cricket Club currently has 3 active trustees. However, our constitution dictates that the quorum (the minimum number of trustees required to make official decisions) is 4. Because we have 3 trustees, our board is currently inquorate. This means the remaining trustees cannot legally vote on any operational matters, approve budgets, or officially elect a new Chair until a 4th trustee is in place.

The Solution: Your Vote as a Member

As an Association CIO, our wider voting membership holds the ultimate authority to elect trustees. To restore our board's voting powers quickly and safely, we are proposing the appointment of a specific 4th candidate via a Written Resolution, which avoids the need for an in-person emergency meeting.

We have an excellent candidate, Paul Michael Reid, who has consented to stand and bring our board back to full strength.

  2. Tick to confirm you give your agreement to the ordinary resolution set out above and complete your full name and date the form to indicate your agreement.

Deadline

Under our constitutional rules, we require a simple majority (over 50%) of our entire voting membership base to sign and return this form within 28 days. However, to ensure our charity can resume normal operations as soon as possible, we kindly ask that you return your completed form asap and ideally by 20 July 2026.
